Changing a company's name means altering the name clause of its Memorandum of Association and getting a fresh Certificate of Incorporation in the new name. Companies do it to rebrand, to reflect a new line of business, after a merger, or to settle a trademark clash. The important thing to know is that a name change does not create a new company. Your CIN stays the same, and all your contracts, assets, licences, and liabilities carry on exactly as before, only under a new name. Can you change a private limited company's name?
Yes. Any company can change its name, whether to rebrand or for any other reason, as long as it is up to date on its filings. A company that has defaulted on its annual returns or financial statements has to clear those first.
A name change does not create a new company
The change does not affect the company's legal identity, because the CIN stays the same and the business continues as one and the same entity.
So your bank accounts, contracts, employees, and registrations all carry over, and only the name on them changes. You are not starting again, and nothing has to be renegotiated.
When companies change their name

Name availability rules
Before you can adopt a new name, it has to clear the naming rules the MCA applies:
- It must not be identical or too similar to an existing company or LLP name
- It must not match a registered trademark, unless you hold a no-objection from the owner
- It must not be undesirable, offensive, or prohibited under the law
- It must carry the correct suffix, such as Private Limited

How to change a company name
Board meeting
The board approves the proposed name, authorises the application, and calls a general meeting.
Name approval
We apply through the RUN service to reserve the new name, once it clears the naming rules.
Special resolution
The shareholders pass a special resolution to change the name and alter the MOA and AOA.
File MGT-14
We file the special resolution with the ROC in Form MGT-14 within 30 days.
File INC-24
We file the application for approval of the new name with the Central Government in Form INC-24.
Fresh certificate
The ROC approves and issues a new Certificate of Incorporation in the new name, from which date the change takes effect.

After the name change

You display the former name for two years
For two years from the change, you display the former name alongside the new one wherever the name appears. That covers your signboards, letterheads, and invoices, not just your filings.
