Udyam Registration is the government's official way to register a business as a Micro, Small, or Medium Enterprise, and it is free, online, and paperless. It works on self-declaration, so you do not upload documents. Instead, the portal validates your details against your PAN and GST records. Once registered, your enterprise receives a permanent Udyam Registration Number and an e-certificate with a QR code, which is what banks, buyers, and government departments recognise. What is Udyam Registration?
Udyam Registration is the recognition and classification of a business as an MSME by the Ministry of Micro, Small and Medium Enterprises. The government launched it on 1 July 2020, and it replaced the older Udyog Aadhaar system. The whole process runs online on the Udyam portal, and it works on self-declaration of your investment and turnover. Because the portal is linked to the income tax and GST databases, your figures are validated automatically, so you rarely need to upload anything. On completion, you get a permanent Udyam certificate that identifies your enterprise across India's lending, procurement, and compliance systems.
MSME classification: the revised limits
Your enterprise is classified as micro, small, or medium on two figures together, its investment in plant, machinery, or equipment, and its annual turnover. Both conditions must be met for a category, so a business that crosses either limit moves up. The government revised these limits through Notification S.O. 1364(E) dated 21 March 2025, and the new figures apply from 1 April 2025.

The revision raised the investment ceilings by 2.5 times and roughly doubled the turnover ceilings, so many businesses that had outgrown the old limits count as MSMEs again. Exports stay out of the turnover count, which helps enterprises that sell abroad.
Who should register?
Almost any business that fits the MSME limits can register, and most should. Udyam Registration is open to:
- Proprietorships, partnership firms, and Hindu Undivided Families
- Private limited companies, one person companies, and LLPs
- Co-operative societies, trusts, and societies running an enterprise
- Manufacturers, service providers, traders, and freelancers within the limits
Startups and new businesses can register too, even before turnover builds up, because classification can rest on declared investment. Registering early is what lets a young business claim MSME benefits from the start.
Is Udyam Registration mandatory?
Udyam Registration is not mandatory by law, so no penalty applies for not holding it. In practice, though, it is a prerequisite for almost everything the MSME framework offers. Without it, you cannot claim priority sector lending, collateral-free credit under the CGTMSE scheme, tender and procurement preference, or the protection of the 45-day payment rule. Most businesses register because the certificate opens doors that are otherwise closed, not because a rule forces them to.

The 45-day payment rule and Section 43B(h)
The benefit most businesses overlook
Under Section 15 of the MSMED Act, a buyer must pay a registered micro or small enterprise within the agreed period, and within 45 days at most, or within 15 days where there is no written agreement.
Section 43B(h) of the Income Tax Act then backs this up, because a buyer who does not pay within that window cannot claim the expense as a deduction until the amount is actually paid. For a registered supplier, that puts genuine pressure on large buyers to clear dues on time. For a buyer, it is a compliance point worth watching. Aadhaar validation

Registration for startups and new businesses
A new business does not need a turnover history to register. Classification can rest on your declared investment in plant, machinery, or equipment, so you can hold a Udyam certificate from your first months of trading. Registering early is the simplest way to open bank credit and tender eligibility before you actually need them.
